These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Porfolio LLC (doing business as “Face Your Budget”, “FYB”, “we,” “us,” or “our”), governing your access to and use of the Face Your Budget web application, website (faceyourbudget.com), associated spreadsheet templates, and optional professional consultation services (collectively, the “Service”).

PLEASE READ THESE TERMS CAREFULLY. BY CREATING AN ACCOUNT, ACCESSING OR USING THE SERVICE, PURCHASING A SOFTWARE PASS, OR SCHEDULING A CONSULTATION, YOU AGREE TO BE BOUND BY THESE TERMS AND OUR PRIVACY POLICY. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT ACCESS OR USE THE SERVICE.

1. Account Eligibility and Security

A. Age & Capacity

You must be at least eighteen (18) years of age (or the legal age of majority in your jurisdiction of residence) and possess the legal capacity to enter into binding contracts to access and use Face Your Budget. By accessing the Service, you represent and warrant that you meet these eligibility criteria.

B. Credential Confidentiality & User Liability

You are solely responsible for maintaining the confidentiality of your account login credentials, passwords, and multi-factor authentication devices. You accept full legal responsibility for all activities, actions, or omissions that occur under your account.

C. Security Enforcement & Account Locking

If you suspect unauthorized access to your account or any other security incident, you must notify Face Your Budget immediately at security@faceyourbudget.com. Face Your Budget reserves the right to lock accounts, revoke active session tokens, or restrict access if suspicious activity, credential stuffing, or platform security anomalies are detected.

2. Nature of Service & Disclaimers (Not Financial, Tax, or Investment Advice)

A. Operational Cash-Flow Tool Only

Face Your Budget is an educational and organizational software tool designed solely to assist users with personal cash-flow planning, expense tracking, and household budgeting simulations.

B. No Accounting, Tax, Fiduciary, or Legal Advice

FACE YOUR BUDGET IS NOT AN ACCOUNTING FIRM, CERTIFIED BOOKKEEPING SERVICE, REGISTERED INVESTMENT ADVISOR, BROKER-DEALER, OR TAX PREPARATION SERVICE. THE SERVICE, ITS CALCULATIONS, PROJECTIONS, AND TEMPLATES DO NOT CONSTITUTE FINANCIAL, INVESTMENT, TAX, ACCOUNTING, OR LEGAL ADVICE.

Nothing contained within the Service creates a fiduciary or professional-client relationship. You should consult qualified, licensed CPAs, tax professionals, or fiduciary financial planners regarding specific legal, debt-relief, tax, or investment strategies.

C. Consultation Sessions Disclaimer

Optional one-on-one budget coaching sessions provided by Face Your Budget personnel or founders are educational in nature and focus strictly on operational household cash-flow modeling. These sessions do not constitute formal tax optimization, legal counsel, or fiduciary investment advisory services.

3. User Data Inputs and CSV File Imports

A. Accuracy Dependent on User Inputs

The accuracy, completeness, and utility of all cash-flow projections, category balances, debt payoff schedules, and reports generated by Face Your Budget depend entirely on the accuracy and completeness of the data you manually enter or import. Face Your Budget bears no liability for budgeting discrepancies, calculation variances, or personal financial decisions resulting from inaccurate, outdated, or corrupted user data inputs.

B. Google Sheets Formatter Template

Face Your Budget provides a free, optional Google Sheets template to assist in structuring bank statement CSV files. This template operates entirely inside your independent Google Drive / Google Workspace account under Google’s respective platform terms. You are exclusively responsible for safeguarding access and file permissions to your personal Google Sheet copy. Face Your Budget is not liable for data exposure resulting from user misconfiguration (such as setting sharing permissions to “Public” or “Anyone with the link”).

4. Software Access, Free Trial & Strict No-Refund Policy

A. 30-Day Free Trial & Post-Trial Access Lock

Face Your Budget provides an unrestricted thirty (30) day free trial with full access to standard software features. The free trial does not require upfront credit card billing and provides ample opportunity to inspect, evaluate, and test the software’s functionality and workflow prior to making any financial commitment. Upon expiration of the 30-day trial period, software access is locked until a Lifetime Pass is purchased.

B. Lifetime Pass (LTD) & No Subscriptions

Face Your Budget operates on a non-subscription software model. Face Your Budget does not charge recurring monthly or annual software subscriptions. Continued software access following your trial is granted via the purchase of a one-time Lifetime Pass (“LTD”).

C. Strict No-Refund Policy for Software Purchases

ALL PURCHASES OF THE LIFETIME PASS (LTD) ARE FINAL AND STRICTLY NON-REFUNDABLE. Because Face Your Budget provides an unrestricted thirty (30) day free trial to thoroughly evaluate the Service before purchase, an LTD purchase does not entitle you to any refund, credit, or chargeback under any circumstances. You acknowledge and agree to this condition before completing payment through our third-party payment processor, Stripe.

5. Professional Consultation & CSV Data Prep Refund Terms

A. Standard Budget Onboarding & Baseline Session

• Rescheduling & Cancellation (24-Hour Notice): You may reschedule your consultation or request a full refund if your written cancellation notice is received at least twenty-four (24) hours prior to the scheduled appointment start time.
• No Refunds Within 24 Hours: Appointments canceled, rescheduled, or missed (“no-shows”) with less than twenty-four (24) hours’ advance notice are strictly non-refundable.

B. Optional Add-On: Historical Bank CSV Data Prep

• Service Scope: This “done-for-you” add-on involves reviewing, cleaning, and formatting historical bank statement CSV exports into the Face Your Budget template format.
• Categorization Complexity & Disclaimer: Due to the inherent variability and formatting complexity of merchant abbreviations, bank descriptions, and individual household contexts, Face Your Budget cannot and does not guarantee 100% categorization accuracy.
• User Review Obligation: You agree to manually review all categorized and “Uncategorized” line items and make necessary category adjustments within your spreadsheet or the web application.
• Non-Refundable for Categorization Dissatisfaction: You are not entitled to a refund, partial refund, or chargeback based on dissatisfaction with specific categorization assignments, merchant interpretations, or remaining “Uncategorized” entries.
• Performance Failure Exception: A refund for the CSV Data Prep add-on will only be granted if Face Your Budget fails to deliver the completed spreadsheet files within a mutually agreed-upon, reasonable timeframe following receipt of all necessary, readable source CSV files from the user.

6. Independent Professional Directory Disclaimer

Face Your Budget features an optional directory listing independent third-party financial professionals, such as Certified Public Accountants (CPAs) and Fee-Only Fiduciary Financial Advisors (“Directory Professionals”).

• Voluntary Engagement: Any communication, consultation, engagement, or contract with a Directory Professional is strictly voluntary and initiated entirely by you outside the Face Your Budget software.
• Independent Third Parties: Directory Professionals are independent practitioners and are not employees, agents, partners, or representatives of Face Your Budget or Porfolio LLC.
• No Billing or Scheduling Responsibility: Face Your Budget does not broker, manage, oversee, or process appointments, client agreements, scheduling, or payments/billing for external professionals. Face Your Budget is not a party to any contract between you and a Directory Professional.
• Independent Due Diligence: Listing in the directory does not constitute an endorsement, warranty, or guarantee of professional outcomes. You are solely responsible for conducting your own due diligence regarding the qualifications, licensing, insurance, and suitability of any Directory Professional you choose to retain.

7. Software License & Intellectual Property

A. Limited License

Subject to your compliance with these Terms and payment of applicable fees, Face Your Budget grants you a personal, limited, non-exclusive, non-transferable, revocable, and non-sublicensable license to access and use the Face Your Budget web application solely for your internal household budgeting purposes.

B. Intellectual Property Rights

The Service, including its codebases, user interfaces, branding, visual designs, formulas, workflows, and documentation, is owned exclusively by Porfolio LLC (d/b/a Face Your Budget) and protected by United States and international intellectual property laws. You agree not to copy, modify, distribute, sell, reverse engineer, decompile, or create derivative works from the Service.

8. Acceptable Use and Prohibited Conduct

When accessing or using the Service, you agree that you will not:

1. Attempt to reverse engineer, decompile, disassemble, or extract source code from the application or underlying infrastructure.
2. Bypass, disable, circumvent, or tamper with security controls, rate-limiting systems, or human-verification challenges.
3. Access or probe unauthorized multi-tenant database partitions or another user’s account data.
4. Use automated bots, scrapers, crawlers, or harvesting tools to extract data from the Service.
5. Input or upload corrupted files, destructive scripts, viruses, or malicious software.
6. Resell, rent, lease, sub-license, or commercially exploit access to the Service or proprietary spreadsheet templates without prior written authorization from Face Your Budget.
7. Use the Service for any unlawful, fraudulent, or abusive purpose.

Violation of these provisions may result in immediate account termination without refund and may subject you to civil or criminal liability.

9. Account Termination & Cascade Deletion

A. User-Initiated Cascade Deletion

Face Your Budget provides a self-service cascade-deletion function within the application:

• Permanence: Deleting a custom bank account immediately and permanently purges that account record and all associated transactions, debt entries, savings goals, and expense category allocations.
• Irreversibility: Once cascade-deleted, this data is permanently destroyed and cannot be recovered or restored by Face Your Budget personnel. Your member profile remains active for continued software use. Face Your Budget bears no liability for data loss resulting from your deliberate or accidental deletion of accounts.

B. Post-Trial Access Lock & Inactive Account Purge (6-Month Grace Period)

Upon the expiration of your thirty (30) day free trial, access to the software and your financial data is suspended and locked until you purchase a Lifetime Pass (LTD). Face Your Budget preserves your configured account settings and imported financial records for a grace period of six (6) months following the date of trial expiration, allowing you to purchase an LTD to unlock and resume access.

In accordance with data minimization principles and to protect database integrity, if you do not purchase a Lifetime Pass within six (6) months following trial expiration, Face Your Budget reserves the right to permanently purge and delete your account—including all custom bank accounts, imported transactions, debt schedules, savings goals, and expense allocations. Once executed, this data purge is permanent, irreversible, and unrecoverable.

C. Termination by Face Your Budget

Face Your Budget reserves the right to suspend or terminate your account access at any time, with or without notice, for material violations of these Terms, non-payment, or conduct that threatens the security or operational integrity of the Service.

10. Disclaimer of Warranties

THE SERVICE, INCLUDING ALL SOFTWARE, SPREADSHEET TEMPLATES, DOCUMENTATION, AND CONSULTATIONS, IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FACE YOUR BUDGET AND PORFOLIO LLC DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT. FACE YOUR BUDGET DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, NOR THAT DATA INPUTS OR CSV IMPORT CONVERSIONS WILL BE FREE OF TRANSLATION OR CATEGORIZATION DISCREPANCIES.

11. Software Modifications and Availability

Face Your Budget reserves the right to deploy updates, bug fixes, feature refactors, or security enhancements at any time. We may temporarily suspend access for maintenance, upgrades, or emergency repairs. Temporary service interruptions, feature deprecations, or interface updates do not constitute a breach of contract and do not entitle users to any financial compensation, credits, or refunds.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL FACE YOUR BUDGET, PORFOLIO LLC, OR ITS AFFILIATES, OFFICERS, MEMBERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, LOSS OF DATA, FINANCIAL LOSSES ARISING FROM BUDGETING CALCULATIONS, OR BUSINESS INTERRUPTION) ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF (OR INABILITY TO USE) THE SERVICE.

IN NO EVENT SHALL THE TOTAL AGGREGATE LIABILITY OF FACE YOUR BUDGET AND PORFOLIO LLC FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO FACE YOUR BUDGET FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY; OR (B) NINETY-NINE U.S. DOLLARS ($99.00 USD).

13. Indemnification

You agree to defend, indemnify, and hold harmless Face Your Budget, Porfolio LLC, and its officers, directors, members, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with: (a) your access to or use of the Service; (b) your violation of these Terms; (c) data uploaded or entered by you (including your configuration of personal Google Sheets templates); or (d) your engagement with any third-party Directory Professional.

14. Governing Law and Mandatory Dispute Resolution

A. Governing Law

These Terms and any dispute arising out of or related to them shall be governed by and construed in accordance with the laws of the State of Florida, without giving effect to any conflict of law principles.

B. Mandatory Individual Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms, the Privacy Policy, or your use of the Service shall be resolved exclusively through final and binding individual arbitration administered in Florida, rather than in a court of law. Judgment on the arbitration award may be entered in any court having jurisdiction.

C. Class Action Waiver

YOU AND FACE YOUR BUDGET AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person’s claims and may not otherwise preside over any form of representative or class proceeding.

D. Jurisdiction & Venue

To the extent any court action is permitted under these Terms, you and Face Your Budget agree to submit to the exclusive personal jurisdiction of the state or federal courts located in Polk County, Florida (or the United States District Court for the Middle District of Florida).

15. Chargebacks and Payment Disputes

A. Prohibition of Unauthorized Chargebacks

By purchasing a Lifetime Pass (LTD), you explicitly acknowledge and agree that you have received ample opportunity during the thirty (30) day free trial to test and evaluate the Service, and that all software purchases are strictly non-refundable. Filing a chargeback, payment dispute, claim, or reversal with your bank, credit card issuer, or payment processor without prior written communication and authorization from Face Your Budget constitutes a material breach of these Terms.

B. Account Suspension & Telemetry Evidence Submission

In the event that you initiate a chargeback or payment dispute, Face Your Budget reserves the immediate right to suspend or lock your account access. To defend against improper or fraudulent disputes, Face Your Budget actively maintains and will submit comprehensive audit and telemetry records to Stripe and your financial institution, including:

• Verification timestamps and IP addresses captured during registration and checkout.
• Clickwrap agreement acceptance logs demonstrating your assent to these Terms.
• Thirty (30) day free trial usage logs, active login sessions, and database activity confirming product delivery and software utilization.

C. Dispute Fees & Collection Costs

If you file an improper, unfounded, or fraudulent chargeback that is subsequently decided in Face Your Budget’s favor, or that violates these Terms, you agree to reimburse Face Your Budget and Porfolio LLC for all associated chargeback dispute fees charged by payment processors (typically $15.00 USD), administrative overhead, and reasonable legal or collection expenses incurred in recovering the funds.

16. Modifications to Terms

Face Your Budget reserves the right to revise or modify these Terms at any time. When material updates occur, we will update the “Last Updated” date at the top of this document and notify active users via an in-app notice or email notification. Your continued use of the Service following the effective date of updated Terms constitutes your binding acceptance of the changes.
